Acceptance of Terms and Conditions

THIS IS A LEGAL AGREEMENT BETWEEN THE COMPANY YOU REPRESENT AND RHINO LININGS CORPORATION (“RHINO”) WITH RESPECT TO THE USE OF THE EORDER.RHINOLININGS.COM WEBSITE (“SITE”). PLEASE READ THIS DOCUMENT CAREFULLY BEFORE CLICKING “ACCEPT” AND PROCEEDING TO USE THE SITE. BY CLICKING ON “ACCEPT”, YOU ARE AGREEING, ON BEHALF OF YOUR COMPANY, TO BE BOUND BY, AND ARE BECOMING A PARTY TO, THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT CLICK ON “ACCEPT”AND DISCONTINUE YOUR USE OF THE SITE. YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS OLD AND THAT YOU ARE LEGALLY ABLE TO ENTER INTO THIS AGREEMENT ON BEHALF OF YOUR COMPANY.

Rhino reserves the right to make changes to this Site at any time without prior notice. Additionally, Rhino reserves the right at any time and from time to time to discontinue temporarily or permanently, this Site (or any part thereof) with or without notice. You agree that Rhino shall not be liable to you or to any third party for any modification, suspension or discontinuance of this Site.

Description of Site

The Site currently provides you with access to Rhino’s web portal for authorized customers to access their account and place orders. Any new features that augment or enhance the current resources and content of the Site shall be subject to this Agreement. You understand and agree that the Site and all resources and content therein are provided “AS-IS” subject to all limitations set forth in this Agreement.

License to use the Site

Subject to your performance of all of the provisions of this Agreement, Rhino hereby grants you, a limited, terminable, personal, non-exclusive license to access and use the Site and all resources therein solely as permitted herein. Notwithstanding anything to the contrary herein, all rights not specifically granted in the license set forth above shall be reserved and remain always with Rhino.

User Conduct

You agree to use this Site solely to access and update your account and place orders for Rhino’s products for lawful purposes only. You are prohibited from using the Site for any unlawful purposes, including, but not limited to, attempting to access any other user’s account, attempting to circumvent any security measures, or sending us any harmful, threatening, abusive, harassing, defamatory or obscene material of any kind.

Orders Submitted by User

You, as the user of this Site, are fully responsible for the content and correctness of all orders you send to Rhino. By submitting orders to Rhino using the Site, you understand and acknowledge that such orders will be automatically entered into Rhino’s order system and will be fulfilled in accordance with all applicable Rhino policies, including, but not limited to, Rhino’s Terms And Conditions For Shipping, Delivery And Returns and Limited Warranty which are hereby fully incorporated herein by this reference.

Export Compliance
Any or all Rhino products may be subject to export or resale restriction or regulation, and you acknowledge that you will comply with such regulations or restrictions and you hereby indemnify and shall hold Rhino harmless from any loss, cost or liability that arises directly or indirectly out of any claim that you failed to observe United States export control laws. You acknowledge any purchases of Rhino products that are intended for export, re-export and/or international sales, shall be made with full disclosure to Rhino as to intended destination outside the United States and that you are fully compliant with United States export control laws. Under no circumstance shall Rhino products be exported or re-exported into any embargoed and sanctioned countries, or otherwise used for or sold to a denied person or national or resident of any embargoed or sanctioned country, in each case as identified by the United States government. Should any Rhino products have been imported, country of origin information is as provided to Rhino by its suppliers and is, where applicable, located on the products themselves or the supplier’s packaging.

Non-Military Applications
You acknowledge that no Rhino products may be sold or otherwise utilized for any military applications. Any anticipated purchases for military applications must receive prior written authorization from Rhino prior to purchase of such products.

Copyright Information

All content included on this Site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Rhino and/or its content suppliers and licensors, and is protected by United States and international copyright laws. The compilation, organization and display of all content on this Site are the exclusive property of Rhino and are protected by U.S. and international copyright laws. All software used on this Site is the property of Rhino and/or its software suppliers and licensors and is protected by United States and international copyright laws. No other use may be made of the content, compilation or software on this Site without the prior express written permission of Rhino.

Trademark Information

The trademarks, service marks and logos (the “Trademarks”) used and displayed on this Site and owned by Rhino are registered and unregistered Trademarks of Rhino. All other Trademarks not owned by Rhino that appear on this Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Rhino. Nothing contained on this Site shall be construed as granting or conferring, by implication or otherwise, any right or license to use any Trademarks used and displayed on this Site without the prior written permission of the Trademark owner.

Password Security

You shall be exclusively responsible for the supervision, management, and control of your user login and password. Rhino will not be liable for any loss or damage arising from your failure to comply with these terms. You will use the Site in accordance with all applicable laws. Rhino may, without notice, terminate your access to the Site or take other actions as are reasonably necessary to comply with legal requirements and as necessary to protect Rhino’s networks, information and the security and integrity of the Site.

Permission to use material safety datasheets, product datasheets or brochures and product FAQs and specifications (collectively, “Documents”) made available on the Site is hereby granted, provided that:

Pricing

Prices displayed on this Site are quoted in U.S. dollars. These prices do not include shipping, handling, and sales tax. If applicable, they will be added to total invoice price. You are responsible to pay shipping, handling charges and state and local sales or use taxes that may apply to the order.

Rhino does not guarantee the accuracy and completeness of any Site content, including price information. If pricing errors are discovered, they will be corrected on Rhino’s systems, and the corrected price will apply to your order. Rhino reserves the right to revoke any stated offer and to correct any errors, inaccuracies or omissions (including after an order has been submitted and accepted).

Your order details will always reflect the most recent price displayed on the item's product detail page. However, adding an item to your order

does not reserve price shown at that time. Some discounts are limited-time offers. The price of an item will be confirmed when you place the order.

Payments

Because you are an authorized customer of Rhino with an account, you have previously provided us your payment information. You hereby authorize Rhino to charge the amount due for any completed purchase transaction to the credit card you have provided us. If your credit card is denied when charged, your Site account and the license to use the Site may be immediately suspended (locked) or canceled at the sole discretion of Rhino. Rhino reserves the right to charge and collect a “bad credit” fee of twenty five ($25.00) dollar fee for any declined transaction. You shall additionally be responsible for and shall immediately pay Rhino, on demand, any payments that are made to Rhino that are subject to a subsequent reversal or charge-back. YOU HEREBY REPRESENT AND WARRANT THAT (I) THE CREDIT CARD INFORMATION SUPPLIED TO RHINO IS TRUE, CORRECT AND COMPLETE, (II) PAYMENTS MADE BY YOU WILL BE HONORED BY YOUR CREDIT CARD COMPANY, AND (III) YOU SHALL PAY FOR ALL AMOUNTS DUE PURSUANT TO SALES ON THE SITE. Entire Agreement

This Agreement and the associated Privacy Policy, Terms and Conditions for Shipping, Delivery and Returns, and Limited Warranty constitute your entire agreement with Rhino with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter. SHIPPING & DELIVERY INFORMATION

Charges

All shipping charges are estimated. Actual shipping charges may vary. Rhino Linings Corporation (“Rhino”) offers a variety of shipping options. Your shipping choices will depend on the item or items in your order. You are responsible for and agree to pay the actual shipping charges for your purchase.

Processing

We will strive to process orders within 72 hours on business days (Monday through Friday), excluding public holidays, from 7 a.m. to 5 p.m. PST. The processing time may vary by product and is subject to availability. The amount of time the item is expected to be in transit depends on the shipping method you choose and product lead time.

Product Availability

Inventory is only reserved when the order has been submitted and an e-mail confirmation is sent to you. Placing an item in your shopping cart does not reserve inventory of that item for you. Please be advised that some items sell out quickly. Therefore, it is possible for an item to become ‘sold out’ during the check-out process. We do not guarantee availability of any product.

Shipment of In-Stock Items

The shipment of an in-stock item depends on the shipping options you have chosen and the number of items in the order (i.e. overnight, 2nd day, standard, ground etc.).

Shipment of Backorder Items

Be aware that items listed as having “Back Ordered” availability can potentially delay shipments. If the availability of an item changes after you place your order, we will send you an e-mail. You may receive several shipments to complete the fulfillment of your order.

Shipping Restrictions

Rhino does not ship to P.O. boxes or to P.O. Box ZIP codes in the U.S., including U.S. military P.O. box addresses such as APO and FPO.

Rhino ships to many international destinations and shipments will primarily use FedEx. However, some destinations have limited service options. Costs are determined both by weight of your order, or dimensions for larger sized items, and your destination. Shipping cost is calculated at the time of checkout.

Rhino does not ship to any prisons, jails, and other types of correctional institutions.

Tracking Shipments

You may track the status of your package and/or view the estimated delivery date of your package using the tracking number that was sent to the email address provided at checkout. Shipment deliveries typically occur during normal business hours and depend on service selected.

If you have placed an order and do not have a tracking number, please contact us to obtain order information or you may view your order under “Your Account” on the eorder.rhinolinings.com site.

Changing or Cancelling Order

Once you have placed your order online, it cannot be modified or cancelled. If you have placed an order in error please contact the Customer Service Department to request a Return Material Authorization (RMA) number. Rhino will issue a RMA in its sole discretion only and reserves the right to refuse to modify or cancel any order. Once orders have entered the shipping process, they cannot be modified or cancelled. Only click on the Place Order button once you are sure and agree to place the order.

EORDER.RHINOLININGS.COM’S RETURN POLICY

Our return policy vary depending on the type of item you’d like to return i.e. stock item, customized pre-pigmented merchandise, damaged merchandise, or warranty claims. All returns and warranty claims must be made in accordance with “Returns & Warranty Claims; Return Material Authorization” procedures as described below. Returns & Warranty Claims; Return Material Authorization

In order to return an item or make a warranty claim, you must comply with the procedures stated herein, which are designed to protect the rights both of Rhino and you. A Return Material Authorization (RMA) number must be obtained from Rhino’s Customer Service Department for the return of any equipment, parts or product purchased from the eorder.rhinolinings.com site. Equipment, parts or products returned to Rhino without proper authorization will be refused and will be returned to you at your expense. The original order number must be provided to Rhino’s Customer Service Department to request a RMA number.

Stock items may be returned within 30 days of online purchase date provided that they are returned unused, undamaged and unopened in original shipping boxes. A 15% restocking fee will be charged on all stock item returns, except shipments made in error by Rhino. Special order items such as custom pigments, custom UVs, etc. cannot be returned. Any merchandise missing the serial number or UPC is also non-returnable.

All equipment, parts or product purchased from the eorder.rhinolinings.com site are deemed fully accepted unless a damage or shortage claim is made within 3 days of delivery. If the merchandise is damaged upon arrival, you have the right to refuse the order. If you choose to refuse an order, please contact the Customer Service Department prior to the refusal. Failure to do so will result in credit only for the items minus 15% restocking fee and return freight charges. No credit will be given for the outbound freight charge.

For warranty claims, Rhino’s Customer Service Department will determine whether you should ship the equipment, parts or product to Rhino, or whether Rhino will make an inspection at your site. If shipment to Rhino is required, a RMA number will be issued and must be placed outside of the shipment being sent to Rhino, as well as on any accompanying documents returning with the item.

Following inspection of the equipment and parts, Rhino will determine whether there is a defect covered by warranty. If there is a defect covered by warranty, Rhino will pay for the shipping of the return and/or replacement. If Rhino determines that the equipment, parts or product are not covered under the warranty, you will be responsible for all shipping charges. You are responsible for freight charges incurred to return items, except shipments made in error by Rhino or returns covered by warranty.

A refund will be issued to the original form of payment used at the time of purchase. The refund will typically take place within 5-7 business days of receiving the returned item at our warehouse minus a restocking fee of 15% and return freight charges where applicable.

Items on the eorder.rhinolinings.com site may be added, deleted, or substituted without prior notice. Merchandise and prices and shipping, delivery and return policies are subject to change without notice.

WARRANTY INFO

Rhino Linings Corporation (referred to herein as “Rhino”) warrants that for a period of six months from the date of shipment from Rhino, the product, equipment and parts (collectively referred to herein as “Product”) will be, under normal use, free from defects in material and workmanship provided, however, that this warranty does not cover, and Rhino shall not be liable for, any malfunction, damage or wear caused by faulty installation, misapplication, abrasion, corrosion, inadequate or improper maintenance, negligence, accident, tampering, substitution of non-Rhino component parts or products, improper storage, or other misuse.

Rhino agrees to assign to you whatever rights Rhino may have under any warranty, express or implied, of any supplier or manufacturer of Product sold by Rhino but not manufactured by Rhino, to the extent assignable.

Rhino’s entire liability and your exclusive remedy under this warranty will be to repair, or at Rhino’s option, to replace without charge, any Product which Rhino determines to be defective within the scope of this warranty. In the event Rhino is unable to repair or replace a defective Product within a reasonable time after receipt, Rhino shall credit you with the original purchase price of the defective Product.

THE FOREGOING WARRANTY IS IN LIEU OF ANY OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. EXCEPT AS SET FORTH ABOVE, RHINO MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, AS TO THE PRODUCTS OR AS TO THEIR CONDITION, USE OR SUITABILITY, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THIRD PARTY RIGHTS OR ARISING OUT OF COURSE OF CONDUCT OR TRADE CUSTOM OR USAGE AND ALL SUCH WARRANTIES ARE EXPRESSLY DISCLAIMED.
